If you accept the Agreement's terms, you will then have the opportunity to fill out the Affiliate Application and submit it to us. We will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application if we determine (at our sole discretion) that your site is unsuitable for the Program. For example applications for sites that contain content that could be classified as for adults only, defamatory, obscene, racially objectionable, or unlawful will not be accepted. Commissions are paid via Paypal or direct bank deposit (for Partners in the EU), within 45 days after the reservation check-out, when your commission balance is above 100,00 Euro. For each reservation made from visitors of the Affiliate Website, the commission for Accommodationz Affiliate Partners is the 4% of the total amount of the reservations which are confirmed either by the hotel and the customer, and are not rejected, refused, cancelled or deleted. Accommodationz Affiliate Program Terms & Conditions I. Definitions 1. This agreement is entered by and between Link Srl, owner of the Accommodationz' on-line hotel reservation system, located at Via degli Abeti 16, Fonte Nuova, Rome, Italy (referred to as Accommodationz), and the Affiliate, together referred to as 'Parties' 2. Link srl, located at Via degli Abeti 16, Fonte Nuova, (Rome, Italy), is registered under the laws of Italy 3. Accommodationz Partner - an entity, institution or company as per data introduced during the Enrollment Process 4. Enrollment Process - the introduction of all necessary data of potential Accommodationz Partner via Accommodationz Affiliate System web pages, followed by Accommodationz Affiliate System access password granting. 5. Accommodationz Affiliate Program - an on line internet Affiliate system, that allows Accommodationz Partner to generate reservations by a visitor of the Affiliate Website to hotels, apartments and bed and breakfasts that are connected with Accommodationz; II. Affiliate Program 6. Accommodationz grants to Affiliate a revocable, limited, non-exclusive, non-transferable, non-sub-licensable license to install, display, operate and maintain the Affiliate Script provided by Accommodationz to Affiliate hereunder for the sole purpose of linking Visitors from the Affiliate Site to Accommodationz' Site. No license is granted beyond the express terms and conditions of this Agreement. 7. Accommodationz Affiliate Program grants Accommodationz Partners to host on their site an Affiliate Script that allows visitors of the Affiliate Website to make reservations to hotels, apartments and bed and breakfasts that are connected with Accommodationz. To enable Affiliate to participate in Accommodationz Affiliate System, Accommodationz shall provide to Affiliate full access to a Control Panel, where the affiliate can customize and modify the appearance of the Affiliate Website. Accommodationz is willing to pay a transaction based fee to the Affiliate for such reservations made starting from the Affiliate Website; 8. Each entity by accepting Accommodationz Affiliate Program Terms and Conditions, finishing Enrollment Process and adding the Affiliate Script into his site is here after considered as Accommodationz Partner. Any entity finishing Enrollment Process confirms and guarantees the correctness of the data introduced. 9. The Affiliate Script from Accommodationz Partner web page should redirect visitors to one of Accommodationz web pages 10. For each reservation made from visitors of the Affiliate Website, the commission for Accommodationz Affiliate Partners is the 4% of the total amount of the reservations which are confirmed either by the hotel and the customer, and are not rejected, refused, cancelled or deleted. 11. Accommodationz Affiliate Program will automatically calculate the commission due to Accommodationz Partner and issue the invoice according to the data introduced by Accommodationz Partner. 12. The commission are paid monthly within 45 days after the reservation check-out unless the amount due is less than 100,00 Euro; in which event Accommodationz will be entitled to postpone payment until such amount is due 13. The invoice will be sent by electronic mail to the Accommodationz Accounting Department; basing on this invoice, Accommodationz will proceed with the payment unless agreed differently between the Parties. 14. Commissions are paid by direct bank deposit or Paypal.com for any Partner having their registered office in the following Countries: Austria, Belgium, Finland, France, Germany, Greece, Ireland, Italy, Luxembourg, Holland, Portugal, Spain. Payments for Partners having their registered office in other Countries will be made trough Paypal.com. 15. Accommodationz Partner guarantees not to disclose to any third party Accommodationz Partner username and password. 16. Accommodationz guarantees to keep all introduced data secured and not to disclose it to any other third party. III. Final Provisions 17. The governing law for this agreement is the Italian law 18. Each party may terminate this agreement at any time with immediate effect for any reason. 19. Accommodationz will evaluate each application in good faith and will notify the Affiliate of the acceptance or rejection. Accommodationz may reject the application if the site applying the Affiliate Program contains content that could be classified as for adults only, defamatory, obscene, racially objectionable, or unlawful will not be accepted. 20. If Accommodationz already accepted an application and the Partner Website is thereafter determined to be unsuitable for the Program, Accommodationz may terminate this Agreement. 21. This agreement is effective as of the sign up by the Affiliate and the subsequent online confirmation by Accommodationz. 22. Accommodationz is fully responsible for the Accommodationz Websites and its contents. The Accommodationz Website will not contain any illegal information. 23. The Affiliate is an independent contractor for all purposes, and will be responsible for his own taxes, workmen's compensation and all other tax related matters. 24. Parties agree to solve all problems or misunderstandings that may occur in reference to contract execution and understanding between themselves 25. Should the differences between Parties not allow to solve the problems as per item 16, the binding court decision will be respective Italian court in Tivoli. 26. All changes to that agreement should be made in writing and accepted by both Parties or considered void 27. Accommodationz Partner accepts all above listed terms by signing 'Accept' box during the Enrollment Process 28. Upon termination of this Agreement: All licenses granted hereunder shall terminate; Accommodationz shall pay any pending payment not already paid.
